Factorytalk Co., Ltd. and its Affiliates are committed to conducting business with integrity and responsibility towards society and all stakeholders in accordance with corporate governance principles. We are opposed to all forms of bribery and corruption both directly and indirectly.
This policy applies to all employees, directors, and representatives of Factorytalk in every country. This policy will be regularly reviewed and updated as needed to ensure appropriate compliance and align with changes in business practices, laws, and regulations.
1. Definitions
Corruption refers to any type of bribery, whether in the form of offering, promising, giving, receiving or soliciting of money or another item of value or any other advantage with the intention to influence the behavior of the recipient or improper abuse of power through any gifts or services, cash or in-kind, bribery of public official and private-to-private bribery.
2. Roles and responsibilities
2.1. The Board of Directors is responsible for overseeing the Anti-Corruption practices and taking the lead to combat against fraud and corruption to demonstrate our commitment to integrity and transparency towards employees and business partners. They shall foster a company culture by raising awareness of anti-corruption throughout the organization.
2.2. All members of management are responsible for ensuring that all employees are aware of and understand this policy through adequate and regular training sessions.
2.3. The Employees shall perform their duties in accordance with the regulations. Anyone who has any query concerning this policy or noticing violations of the regulations, they shall raise the question or report to their supervisor or through the company’s Complaint/Whistleblowing channels.
3. Guidelines
3.1. Employees, directors, and representatives of Factorytalk shall follow the Anti-corruption Policy and avoid any direct or indirect involvement with corruption.
3.2. Employees shall report any suspicious corruption, or misconduct to their supervisor or designated channels immediately and give full cooperation in investigation.
3.3. Factorytalk shall foster among third parties the Anti-Corruption Policy to ensure compliance with our standards.
3.4. Factorytalk shall maintain an organizational culture with zero tolerance against corruption in all business operations.
3.5. Factorytalk shall comply with applicable laws related to anti-corruption in Thailand and every country where it conducts business.
4. Rules of Practice
4.1. This policy shall apply to all human resources, including recruitment, selection, promotion, training, performance evaluation, and compensation. Supervisors at all levels shall communicate this policy to employees to ensure efficiency in applying to business activities within the scope of responsibilities.
4.2. This policy shall comply with the Factorytalk Code of Conduct, Rules and regulations, and any additional guidelines to be outlined in the future.
4.3. Any activities involving high risks of corruption shall comply with the guidelines as follows:
4.3.1. Gifts, souvenirs, and Entertainment
To build a good business relationship with potential partners or customers, the Company expects that persons involved in such matters could consider and determine to ensure that gifts, souvenirs, and entertainment expenses are appropriate on each occasion and appropriate to the receiver or giving without violation of laws or social acceptance. To ensure transparency and accountability, the value of all gift, souvenir, and entertainment expenses will be recorded properly and with evidence.
4.3.2. Donations or sponsorships
Any offering or accepting of donations or sponsorships must be transparent and legal and will not be asserted for committing bribery acts.
4.3.3. Business relations and procurement with the government
Any offering or accepting of bribery is prohibited in all business activities. Any dealing and communicating with the government shall be transparent, honest, and in compliance with relevant laws.
5. Communication and training
Factorytalk shall communicate this policy to all employees through multiple channels, including new employee orientations, training sessions, and internal communications to ensure an understanding and commitment to this policy among the organization.
6. Disciplinary Action
Any employees, directors, or representatives of Factorytalk who fail to comply with this policy are subject to disciplinary action and may be subject to legal punishments if they commit an offense under the law.
7. Complaint or Whistleblowing channels
Employees (Whistleblowers) can submit their complaints, testimony, information, facts or evidence involved or report any suspicious corruption, fraud or misconduct through available channels. Our channels for Complaint/whistleblowing are provided as follows:

The Company will strictly keep the reported information confidential and protect the rights of whistleblowers, witnesses, and persons who provide information for investigation from any kind of penalty, trouble, and unfair treatment. Furthermore, the Company will not tolerate any action by any person within the business attempting to threaten, harass or dissuade an individual who is intent on complying with this Policy.
